The terms for using Checked Off during the beta.

1. Accepting these terms
By installing, accessing, or using Checked Off during the beta period, you represent that you are at least 18 years old, you are in the United States and you agree to these Terms of Service. If you do not agree, please do not use the software or our services.
If you use Checked Off on behalf of an organization, you represent that you have authority to accept these terms on the organization's behalf, and "you" in these terms refers to that organization.
2. What Checked Off is
Checked Off is a productivity application developed by 321 Oak, Inc. This version of Checked Off is beta software — pre-release software made available to a small group of invited testers for the purpose of exercising the product in real use and providing feedback. Beta software may contain bugs, incomplete features, and behavior that will change before general release.
These terms apply to the beta-period use of Checked Off. When Checked Off launches to general availability, an updated Terms of Service will apply.
3. License to use Checked Off during beta
Subject to your compliance with these terms, 321 Oak Inc. grants you a limited, non-exclusive, non-transferable, revocable license to install and use Checked Off during the beta period for your personal or internal business productivity purposes. 321 Oak, Inc. retains all rights, title and interest in Checked Off. Nothing in this license transfers or alters such ownership. This license ends automatically at beta close unless replaced by a general-availability license.
You may not:
- Reverse-engineer, decompile, or disassemble Checked Off except as permitted by applicable law
- Redistribute, sublicense, rent, lease, or sell Checked Off or any copy of it
- Remove or obscure any proprietary notices (such as copyright, trademark, or attribution markings) in the software
- Use Checked Off to build or support a competing product
- Use Checked Off in a way that violates applicable law
4. Your responsibilities
You are responsible for:
- The security of the device on which Checked Off is installed
- The integrity of your own task data (we strongly recommend backing up the local data file periodically)
- Maintaining your own relationship with any third-party AI provider you configure, including paying them for usage
- Complying with your jurisdiction's laws when using Checked Off
5. Beta participation, no warranty
Checked Off during the beta period is provided "as is" and "as available," without warranty of any kind, whether express or implied, including (without limitation) the implied warranties of merchantability, fitness for a particular purpose, non-infringement, or freedom from bugs or errors.
You acknowledge that beta software may:
- Fail, crash, or lose data
- Behave inconsistently across devices or versions
- Be updated, changed, or discontinued without advance notice
- Contain features that do not yet work as intended or are not yet present
321 Oak, Inc. does not guarantee that Checked Off will meet your requirements, operate without interruption, or be error-free.
6. No payment during early beta
Checked Off is provided free of charge during the early beta period. We are not collecting payment, subscription, or any other form of consideration from beta testers in exchange for access.
7. AI features — your account with the provider
Checked Off's optional AI features require you to connect MCP with an AI provider. You are solely responsible for:
- Connecting MCP access in the app
- Complying with the AI provider's terms of service
- Paying the AI provider for usage according to their pricing
- Rotating, revoking, or deleting MCP access when you choose
Checked Off does not have visibility into your usage charges, account status, or any other aspect of your relationship with the AI provider.
AI responses come from the third-party provider you chose, not from 321 Oak, Inc. We do not control, review, or validate the content of AI responses, which can be inaccurate, incomplete, or unexpected. You are responsible for evaluating any AI-generated suggestions before acting on them.
321 Oak, Inc. is not liable for:
- The accuracy, safety, or appropriateness of AI-generated output
- AI provider availability, downtime, pricing changes, or terms-of-service changes
- Costs incurred on your AI provider account as a result of your use of AI features in Checked Off
- Any use of your data by the AI provider as permitted under their terms
- Please note that your AI provider has its own privacy policy and terms of service and we do not control how data you transmit to an AI provider is used, stored or retained by such provider or make any claims or guarantees relating to such use. Such use is controlled by the AI provider’s privacy policy and terms of service
8. Limitation of liability
To the fullest extent permitted by applicable law, 321 Oak, Inc.'s total liability to you for any claim arising out of or related to Checked Off or these terms, regardless of the form of the claim, will not exceed the greater of the fees paid to us in the 12 months preceding the claim or one hundred U.S. dollars (US$100).
321 Oak, Inc. will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or business interruption — even if advised of the possibility of such damages.
This section survives termination of these terms.
9. Feedback you give us
If you send us feedback — bug reports, feature suggestions, comments, ideas — you grant 321 Oak, Inc. a perpetual, worldwide, royalty-free, non-exclusive license to use that feedback in any way, including incorporating it into Checked Off, without any obligation to compensate you or attribute the feedback to you. You represent that feedback you provide is your own or that you have the right to share it with us.
10. Termination
You may stop using Checked Off at any time by uninstalling it.
We may terminate your beta participation at our discretion — for example, if you violate these terms, if you no longer wish to participate, or when the beta program ends. On termination, your license to use Checked Off under these terms ends. Your task data on your device is not affected by termination; it remains on your device under your control.
11. Indemnification
You agree to indemnify and hold harmless 321 Oak, Inc. and its officers, directors, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your violation of these terms, your use of Checked Off in violation of applicable law, or your use of AI features in a way that violates the AI provider's terms.
12. Changes to these terms
We may update these Terms of Service from time to time as the beta evolves and as we prepare for general availability. Material changes will be communicated to beta testers in advance by notification in the app. The current version is always available at 321oak.com/terms and in the app's Settings → About panel.
Continued use of Checked Off after an update constitutes acceptance of the revised terms.
13. Geographic scope
Checked Off is intended for use by individuals located in the United States. By installing or using Checked Off, you represent that you are accessing the service from within the United States. We do not direct, market, or warrant the availability of the service to users outside the United States. If you nevertheless access or use the service from outside the United States, you do so at your own risk and remain responsible for compliance with the laws applicable in your location.
14. Governing law
These terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to Checked Off or these terms will be resolved exclusively in the state or federal courts located in Schuylkill County, Pennsylvania. You consent to the personal jurisdiction of those courts.
15. Entire agreement
These Terms of Service, together with our Privacy Policy, make up the entire agreement between you and 321 Oak, Inc. regarding your use of Checked Off during the beta, and supersede any prior or contemporaneous discussions, understandings, or agreements between us on that subject.
16. Severability
If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
17. Assignment
You may not assign or transfer these terms, or any of your rights or obligations under them, without our prior written consent. We may assign these terms, in whole or in part, without restriction or notice, including in connection with a merger, acquisition, reorganization, or sale of assets.
18. Notices
We may provide notices to you under these terms by email to the address you provided at beta recruitment, by posting in the app’s Settings → About panel, or by an in-app notification. Notices to us should be sent to [email protected]. A notice is considered given when sent, for email, or when posted, for in-app notices.
